COLOR GURU CERTIFICATION PROCESS
TERMS AND CONDITIONS

By proceeding with the Color Guru Certification Process, you acknowledge and agree to the following terms and conditions:

CONSULTANT AGREEMENT

  1. Certification Process
    By enrolling in the Color Guru Certification Process (the "Process"), you agree to complete the Process in full to become a licensed Color Guru Consultant. If you do not complete the Process, you will not be considered a licensed Consultant and are not permitted to use Color Guru’s color analysis process for your own business. Unauthorized use of Color Guru's trademarks, copyrights, or trade secrets may result in legal action, including injunctive relief and damages.
  2. Standards of Conduct
    You agree to maintain the highest standards of integrity, honesty, and responsibility in dealings with Color Guru, your customers, and other Color Guru Consultants. You will provide color analysis services truthfully and sincerely and hold Color Guru harmless from any damages resulting from misrepresentations made by you.
  3. Protection of Intellectual Property
    You agree to protect Color Guru's trademarks, trade names, and copyrighted materials. You may not use them in any advertising, including online, without prior written permission from Color Guru.
  4. In-Person Services Only
    You are strictly prohibited from offering color analysis via virtual or online means. This prohibition remains in effect even after termination of this agreement.
  5. Independent Contractor Status
    You acknowledge that you are an independent contractor and not an employee, franchisee, partner, or agent of Color Guru. You are solely responsible for tax filings and compliance with all applicable federal, state, and local laws related to your business.
  6. Purchase and Use of Materials
    You agree to purchase color cards and replacement drapes exclusively from Color Guru. You may not create, print, or alter Color Guru’s color cards in any way.
  7. Confidentiality
    You will keep personal information of other Consultants, customers, and potential customers confidential. You further agree not to disclose any proprietary information received from Color Guru without written authorization.
  8. Compliance with Policies
    You agree to abide by all policies, guidelines, and future modifications made by Color Guru. Any changes to these terms will take effect after 10 days' written notice via posting on Color Guru's website or direct notification.
  9. Business Practices
    You will:
  • Offer only in-person color consultations.
  • Use the Color Guru logo provided to you.
  • Offer color consulting services at private events such as weddings, retreats, and color parties.
  • Advertise your in-person services on your personal or business website.
  • Print business cards with the Color Guru logo provided to you.

COLOR GURU AGREES:

  • To provide training in color analysis to support you in establishing an in-person color consulting business.
  • Not to impose geographic restrictions on where you may offer in-person consulting services.
  • To respect the confidentiality of customer information you provide, except as required by law.

TERMINATION

Color Guru may terminate this agreement at any time by providing 10 days' written notice. Upon termination, you must cease using Color Guru's name, logo, trademarks, copyrighted materials, color cards, drapes, and trade secrets in any business activities.

MISCELLANEOUS

  • This agreement is governed by the laws of the State of Delaware.
  • Any disputes shall be resolved in the courts of Delaware.
  • If any provision of this agreement is deemed unenforceable, the remaining provisions will continue in full force and effect.
  • This agreement constitutes the full and only agreement between Color Guru and the Consultant regarding the subject matter herein.
